We may, and retain the right to, initiate refunds of these amounts from your Payout Method. Unless agreed otherwise by vcita in writing, your Payment Services Account is non-transferable, and any change of your User Information shall require prior approval by the Processor in order to come into effect. 19.14 Survival. In order to initiate arbitration, a claim must be filed with the AAA and the written Demand for Arbitration (available at www.adr.org) provided to the other party, as specified in the AAA Rules. No disputes or complaints shall be accepted after 45 days, and following such period, the settlement of the relevant Transaction shall become irrevocable, irreversible and final. PopBookings Payments is liable for any negligent breaches of essential contractual obligations by us, our legal representatives, directors, or other vicarious agents. Except for our obligations to pay amounts to applicable Providing Members pursuant to these Payments Terms or an approved payment request under the PopBookings Staff Guarantee, in no event will PopBookings Payments aggregate liability arising out of or in connection with these Payments Terms and your use of the Payment Services including, but not limited to, from your use of or inability to use the Payment Services, exceed the amounts you have paid or owe for bookings via the PopBookings Platform as a Agency in the twelve (12) month period prior to the event giving rise to the liability, or if you are a Staff or Co-Staff, the amounts paid by PopBookings Payments to you in the twelve (12) month period prior to the event giving rise to the liability, or one hundred U.S. dollars (US$100), if no such payments have been made, as applicable. means a financial instrument that you have added to your PopBookings Account, such as a credit card, debit card, or PayPal account. All rights in and to the Site and the Service, including without limitation proprietary schema, tools, methodologies, methods of the Services and software; and any patent rights, copyrights, trade secrets, trade names, service marks, trademarks, moral rights, know-how related to the Site or the Service (collectively, PaymentWorks Intellectual Property Rights), not expressly granted to Company hereunder are reserved by PaymentWorks. These vcita Payment Services Terms of Service govern the relationship between vcita Inc. and any of its affiliates (vcita, us, we or our) and you, or an entity you represent (you or your), together with our Terms of Service, and our Privacy Policy (together, the Terms), with respect to your use of vcitas cloud-based payment processing system and associated services (the Payment Services) as part of offering your products and/or services using the vcita platform, the vcita mobile application and/or any other services, applications and features offered or enabled by or through us (collectively with the Payment Services, the Services). No failure or delay by either party in exercising any right under these Terms will constitute a waiver of that right. 2.8 Payment Restrictions. If there is a conflict between these Payments Terms and terms and conditions applicable to a specific Payment Service, the latter terms and conditions will take precedence with respect to your use of or access to that Payment Service, unless specified otherwise. Airbnb Payments may enable features that allow you to authorize other Members or third parties to take certain actions that affect your Airbnb account. 4.2 If you are agreeing to these Payments Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Payments Terms and, in such event, you and your will refer and apply to that company or other legal entity. Judgment on the arbitration award may be entered in any court with proper jurisdiction. This Agreement does not grant Sub-Merchant any rights to Payrix's trademarks or service marks, nor may Sub-Merchant remove, obscure, or alter any of Payrix's trademarks or service marks included in the Payrix Services. (vi) Sub-Merchant shall not originate any entries that violate the laws of the United States. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payout Method information provided by you. 3.8 Payment Service Providers. 5.3.3 Airbnb Payments will deem any overdue amounts not collected to be in default when three hundred and sixty five (365) days have elapsed: (a) for authorized charges, after Airbnb Payments first attempts to charge your Payment Method or the associated services have been provided, whichever is later; and (b) for withholdings from a Hosts future Payouts, after the adjustment is made to the Hosts Airbnb account or the associated services have been provided, whichever is later. Use of the Payment Services is subject to payment of the fees and charges as set forth below and which may be amended by us from time to time at our sole discretion (Fees). 2.11.2.1 For certain bookings (such as for Accommodation bookings of twenty-eight (28) nights or more), Airbnb Payments may require a Guest to make recurring, incremental payments toward the Total Price owed (Recurring Payments). Guaranty If you cancel your PopBookings Account as a Agency, PopBookings Payments will initiate a refund for any confirmed booking(s) based on the Listings cancellation policy. 35. ABOUT THIS AGREEMENT; 1.1.Please read this entire agreement and indicate whether you accept its terms. You authorize Airbnb Payments to collect from you amounts due pursuant to these Payment Terms and/or the Terms by either (i) charging the Payment Method associated with the relevant booking, or any other Payment Method on file that you authorize in your Airbnb account (unless you have previously removed the authorization to charge such Payment Method(s)), or (ii) by withholding the amount from your future Payout. 20.5 For any Payout Method linked to your Airbnb account, you authorize Airbnb Payments to store the Payout Method, remit payments using the Payout Method for bookings associated with your Airbnb account and take any other action as permitted in the Payments Terms in respect of the Payout Method. 3. You will promptly notify us in writing within three (3) days if (i) you are subject to any voluntary or involuntary bankruptcy or insolvency application, petition or proceeding, receivership, or similar action; (ii) there is an adverse change in your financial condition; (iii) there is a planned or anticipated liquidation or substantial change in the basic nature of your business; (iv) you transfer or sell 25% or more of your total assets, or there is any change in the control or ownership of your business or parent entity; or (v) you receive a judgment, writ or warrant of attachment or execution, lien or levy against 25% or more of your total assets. No Consequential Damages. 16.4 Notices. Sub-Merchant agrees to process returns of, and provide refunds and adjustments for Products in accordance with this Agreement and the Rules. Arbitration shall take place in Dallas County, Texas before a single arbitrator who is a lawyer practicing commercial law. Airbnb Payments is not responsible for any loss suffered by you as a result of incorrect Payout Method information provided by you. 18.1.5 Communication. Bank, not Payrix, settles Card Transaction funds to Sub-Merchant, and Payrix does not settle ACH Transaction funds to Sub-Merchant. 20.4 If you are using your Payment Method for the benefit of your employees or other authorized third-party in connection with Airbnb for Work, as permitted by your account, you authorize Airbnb Payments to charge your Payment Method for bookings requested by employees at your company or other permitted third-party. If you fail to provide written confirmation within those fourteen (14) days, Airbnb Payments is not obligated to honor your request to stop any future Recurring Payments. This may be performed by PopBookings Payments or a third party such as your financial institution. The limitations of damages set forth above are fundamental elements of the basis of the bargain between Airbnb Payments and you. Country of Residence means the jurisdiction associated with your PopBookings Account as determined by PopBookings assessment of your residence using various data attributes associated with your PopBookings Account. If Sub-Merchant collects, stores, uses or discloses any Customer Data, Sub-Merchant shall, and shall cause its Third Party Servicers to, comply with PCI DSS and all other applicable laws and the Rules relating thereto, and shall certify such compliance when requested by Payrix. 14.4 If you are contracting with Airbnb Payments India, these Payments Terms will be interpreted in accordance with the laws of India. In addition to accepting these Terms you hereby agree and accept prior to using Payment Services to be bound by the Processor Sub-Merchant Agreement as may be amended from time to time with or without notice to you (together, the Processor Terms), which are hereby incorporated by reference. Sub-Merchant shall provide documentary verification as requested from time to time by Payrix in a manner acceptable to Payrix. The time it takes to receiveany cash refund or for any pre-authorization of your Payment Method to be released will vary basedon the Payment Method and any applicable payment system (e.g., Visa, Mastercard, etc.) 3.3.2 Airbnb Payments may offer you a different Payout time or trigger for payment, which may be subject to additional terms and conditions.The time it takes to receive Payouts once released by Airbnb Payments may depend upon the Payout Method you select. Nelnet Payment Services may subcontract all or part of the Nelnet Payment Services Services using a variety of providers globally, but, notwithstanding any such subcontract, Nelnet Payment Services shall remain fully responsible for performance of the Services, including ensuring the compliance of subcontractors with the terms of this Agreement . You are required to read and be aware of the Payment Networks rules. PopBookings Payments may offer alternative options for the timing and manner of payment. The time it takes to receive Payouts once released by Airbnb Payments may depend upon the Payout Method you select. For example, in certain cases, eligible Staff may be able to receive a Payout for a booking prior to the Agencys scheduled check-in. 19.4 If you are using your Payment Method for the benefit of your employees or other authorized third-party in connection with Airbnb for Work, as permitted by your account, you authorize Airbnb Payments to charge your Payment Method for bookings requested by employees at your company or other permitted third-party. If a requested booking is declined because it is not accepted by the Host, you cancel the booking request before it is accepted by the Host, or Airbnb cancels the booking,any amounts collected by Airbnb Payments and due to you pursuant to the policies described in Section 5.5,,will be refunded to you, and any pre-authorization of your Payment Method will be released (if applicable)in accordance with Section 5.5.2. PopBookings Payments will generally collect the Total Fees after the Staff confirms your booking request. use the Payment Services for any commercial or other purposes that are not expressly permitted by these Payments Terms; register or use any Payment Method or Payout Method with your Airbnb account that is not yours or you do not have authorization to use; avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Airbnb Payments or any of Airbnb Payments providers or any other third party to protect the Payment Services; take any action that damages or adversely affects, or could damage or adversely affect, the performance or proper functioning of the Payment Services; attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Payment Services; or. Specifically, you authorize Airbnb Payments to collect from you: If you owe an amount at any time after a booking, such as with Payment Plan or Recurring Payment charges, Booking Modifications, resolution center payments, or Damage Claims (Additional Amounts), you authorize Airbnb Payments to collect payments for such Additional Amounts by charging your Payment Method associated with the relevant booking without any further action on your part. If Airbnb viaAirbnb Payments is unable to collect from the Payment Method used to make the booking, you agree that Airbnb viaAirbnb Payments may charge any other Payment Method on file in your Airbnb account at the time of the Damage Claim (unless you have previously removed the authorization to charge such Payment Method(s)). Without derogating from any other right we have, including the right to cancel or suspend your use of the Payment Services as set forth above, we may terminate these Terms and discontinue your use of the Payment Services at any time, for any reason, effective upon providing you a notice. On any termination hereof, Sub-Merchant shall remain liable hereunder for any and all Fees or costs accrued prior to or following termination and any other amounts owed by Sub-Merchant to Payrix, Bank or a Payment Network. To the maximum extent permitted by applicable law, you agree to release, defend (at Airbnb Payments option), indemnify, and hold Airbnb Payments and its affiliates and subsidiaries, and their officers, directors, employees, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your breach of these Payments Terms; (ii) your improper use of the Payment Services; (iii) your failure, or our failure at your direction, to accurately report, collect or remit taxes; or (iv) your breach of any laws, regulations, or third-party rights. You will comply with applicable Laws and Payment Method Rules when handling or maintaining your Customers data and Personal Information and will provide evidence of your compliance to us upon our request. In order to receive a Payout you must have a valid Payout Method linked to your Airbnb account. In addition to complying with the above, you must also comply with any relevant export control laws in your local jurisdiction. You understand and agree that vcita and/or Processor may require additional payment information from your Customer to complete a Transaction. If you cancel your Airbnb account as a Host or Airbnb Payments takes any of the measures described above, Airbnb Payments may provide a full refund to any Guests with confirmed booking(s), and you will not be entitled to any compensation for pending or confirmed bookings that were cancelled. You hereby authorize PopBookings Payments to collect any amounts due,by charging the Payment Method provided at checkout, either directly by PopBookings Payments or indirectly, via a third-party online payment processor, and/or by one or more of the payment methods available on the PopBookings Platform (such as gift cards). 1.3 Your Airbnb Account. 18.1.4 Airbnb Payments Luxembourg will endeavor to ensure that Hosts based in the EEA will receive each Payout by the end of the business day following Airbnb Payments Luxembourgs initiation of the Payout. Dispute Resolution 5. You shall provide your Customers with proper ways to contact you and have sole responsibility of handling Customer complaints, resolving any Customer support issues, and shall keep vcita fully exempted from any responsibilities with respect to your Customers, products and/or services. The amount of an ACH Transaction may be subject to Reversal for wrong dollar amount, wrong account number, duplicate transaction or other reasons under the NACHA Rules. Sub-Merchant has exclusive responsibility for security of Customer Data and other information on Sub-Merchant systems or those under its control. Sub-Merchant is aware of and shall comply with all applicable laws, Rules, and regulations in connection with Sub-Merchant collection, security and dissemination of any personal, financial, or transaction information. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Payment Services. If you are affected by the modification, we will also provide you with notice of the modifications at least thirty (30) days before the date they become effective. Each party represents that it is not named on any U.S. government denied-party list. 14.3 If you are contracting with Airbnb Payments UK, these Payments Terms will be interpreted in accordance with English law. Airbnb Payments may also share your information with governmental authorities as required by applicable law. Subject to this Agreement, Sub-Merchant also authorizes Bank to debit or credit any payment card or other payment method Payrix accepts. Any changes to the Fees shall be provided in the vcita Payment Services Fees stated below. We may revise the Fees at any time.
